Terms of Service

These terms govern access to and use of Henshin, provided by Henshin FZ-LLC ("Henshin", "we", "us"). By creating an account or otherwise using the service, you agree to these terms on behalf of yourself and, if you're signing up for an organization, on its behalf.

Henshin is a market intelligence platform. We track publicly available retail signals — prices, markdowns, stock, and new arrivals — across the retailers you compete with, and turn them into structured intelligence delivered through the client portal and our API. Henshin's signals and analysis are provided to help you make decisions, not as a guarantee. Market data changes constantly and we can't warrant that every figure is complete or current at every moment — use your judgment alongside it, especially for decisions with material financial impact.

Access is organized by account and organization ("workspace"). You're responsible for keeping your credentials secure and for activity under your account. What features and data you can see depends on your organization's plan and your role within it.

You agree not to:

• Reverse-engineer, decompile, or attempt to extract the underlying methodology of the platform.
• Redistribute, resell, or share Henshin's structured data or signals outside your own organization without our written permission.
• Use the API or portal in a way that abuses rate limits or otherwise degrades the service for other customers.
• Attempt to bypass authentication or access controls, or access another organization's workspace.

If your organization imports its own catalogue or sales data, that data remains yours. Our processing of it is governed by our Data Processing Agreement, which applies alongside these terms.

Henshin owns the platform, its taxonomy, and the signals and analysis it derives from market data. You own the data you or your organization submits to us. Nothing here transfers ownership of one to the other.

Paid plans are billed as set out in your order or plan selection. Fees are non-refundable except where required by law. We may suspend access for accounts with unresolved non-payment after notice.

Either party may terminate as set out in your order form, or with notice where no order form applies. On termination, we'll give you a reasonable window to export your organization's imported data before it's deleted.

The service is provided "as is." Henshin's outputs are market intelligence, not investment, financial, or legal advice, and shouldn't be relied on as such. To the extent permitted by law, Henshin's liability arising from these terms is limited to the fees paid for the service in the twelve months before the claim arose.

These terms are governed by the laws of the United Arab Emirates, and disputes are subject to the exclusive jurisdiction of the courts of Dubai.

We may update these terms from time to time. If we make a material change, we'll update the effective date above and, where appropriate, notify account owners directly.
